Japan's Asahi Kasei to buy Zoll Medical

(AP) ? Japan's Asahi Kasei Corp. has agreed to buy Zoll Medical Corp, a Massachusetts-based maker of defibrillators and other critical care medical devices, for about $2.1 billion.

Under the deal announced Monday, Asahi is offering $93 per share for each Zoll share, a 23.8 percent premium over Zoll's closing price of $75.10.on Friday.

Zoll shares jumped $18.17, or 24.3 percent, to $93.24 in premarket trading , slightly above the offered price.

Zoll Medical has about 22.3 million shares outstanding, according to a recent regulatory filing. The companies valued the deal at $2.21 billion.

Asahi Kasei is a major Japanese chemical manufacturer with a variety of businesses including health care, construction materials and electronics.

The company said Zoll will help it expand its health care business, an area that Asahi has identified as a key sector of growth. Zoll's leading position in resuscitation technologies was particularly attractive, Asahi said.

Taketsugu Fujiwara, Asahi Kasei president and representative director, said Zoll will form the cornerstone of Asahi's critical care business.

"Together we will pursue new opportunities in the high-growth markets of Asia," Fujiwara said in a statement.

The plan is that after the deal is completed, Zoll will become a subsidiary of Asahi's global operation while maintaining its current management team, business units and operations.

The offer, which has been approved by boards of directors for both companies, is expected to begin within 10 business days. It must win approval by regulators and two-thirds of Zoll Medical's outstanding shares.

The deal is expected to close before the end of June, the companies said.

The Sunday Salon: Authorial Biopics ? The Literary Omnivore

In addition to books, I love movies. I thoroughly enjoyed my Introduction to Film Studies class last semester, to the tune of keeping the textbook for further reference. (And I also enjoy having an academic text confirm that yes, loving Peter Jackson?s The Lord of the Rings is just and right. Deep down, we all just want affirmation and approval.) A lot of the time, when these two loves collide, it?s when a novel is adapted into a film?but occasionally it happens when an author?s life is reimagined by screenwriters. (And by ?reimagine?, I of course mean ?create fanfiction?. We?re all fanfic writers, maaaaaaan.) Hence today?s post, which highlights the last three authorial biopics I?ve seen. (I have seen Anonymous most recently, but? I?m not ready to talk about that. I may never be ready to talk about that.)

Magic Beyond Words

?I never said I was a role model.

Magic Beyond Words hovers in some odd territory between the usual Lifetime Original Movie fare, which is camp and melodramatic, and an actually good movie. There are some moments you have to take seriously?Rowling?s failed first marriage?and moments of pure silliness as the film dances it damndest around copyright infringement, such as a bizarre montage of Rowling writing and encountering magical creatures in the real world. (I realize writing is hard to depict onscreen, but come on.) And it has plenty of those weird moments author biopics are rife with?the moments where something in the author?s writing actually happened in real life! For instance, Ron Weasley is loosely inspired by Sean Harris, a friend of Rowling?s in school. He shows up briefly as a flaming redhead (I have no idea what Harris? actual hair color is) with a turquoise Ford Anglia (actual fact), whom Rowling teases by calling him ?a weaselly guy?. Yikes.

Although teenage hellion J. K. Rowling will never not be funny.

Moli?re

I watched this last summer with my friend Natalya, a serious film buff who seriously needs a film blog of her own to share her brilliant thoughts with the world. It?s a gorgeous film?the opening credits are even over undulating waves of bold, beautiful cloth. We did, however, feel our lack of international film knowledge, as we were only able to identify actors by what English-speaking actors they looked like. (And lo, the The Lord of the Rings jokes abounded. Good times.) In any case, we enjoyed how Moli?re wanders into this aristocratic family?s life and improves it, especially considering how tenderly his relationship with the woman of the house is treated.

So imagine our cries of alarm when we discovered it?s essentially Tartuffe, making it yet another film (like Shakespeare in Love) that proposes famous writers only wrote what they know. Sure, everyone is curious as to what real life events influenced writers, but this always feels like lazy shorthand to me. We write what we don?t know all the time. Give ?em a little credit, jeez.

Heavenly Creatures

When Jenny told me that Anne Perry, the murder mystery novelist, was herself a murderer, it blew my mind. And then my mind was reblown when I discovered that Peter Jackson had made a film about it. (I?ve been meaning to explore his early filmography, but I?m squeamish.) I had to see it. It isn?t, of course, a traditional authorial biopic, of course, but it still counts.

It took a while to grow on me, I have to say, but grow on me it did. Kate Winslet, in her debut film, is good and creepy, especially as the film spirals into its final, horrifying conclusion. But more fascinating to me was Melanie Lynskey as Pauline Parker, the young Kiwi girl. Lynskey is probably known to most American audiences as Jacqueline, the awesome evil stepsister in Ever After. She?s quite funny there, but her intensity, vulnerability, and anger here are so intense. And their fantasy world is executed in a way that?s period without feeling dated, able to turn from joyful to violent in an instant. Just writing about it makes me want to rewatch it, especially after having taken my Introduction to Film Studies.

I?m back home for spring break! I?m trying to make it a little retreat, full of sleep, reading, and cooking, but I?ve got a baby shower today and appointments tomorrow. Yeesh. In any case, it shamefully took me all week to finish Black Ships. As soon as I got home, I hit the library first, picking up The Snow Queen, The Marriage Plot (right off the new books shelf!), and A Feast for Crows, which I?ve begun and am enjoying immensely.

Obama to take Cameron to NCAA game

WASHINGTON (AP) ? Talk about getting the royal treatment: President Barack Obama, an avid basketball fan, is bringing British Prime Minister David Cameron to an NCAA Tournament game in Ohio, showing off one of America's most popular sporting events.

The White House said Obama and Cameron will attend a first round game in Dayton on Tuesday, part of the official visit to the United States by the British prime minister and his wife, Samantha.

The trip to the NCAA tournament game is intended to underscore the special relationship between the two key allies and will precede a state dinner on Wednesday. Obama and Cameron are expected to discuss the upcoming NATO and G-8 summits along with the Middle East, Iran and the global economy.

The trip to Ohio may carry some political significance for Obama.

Ohio is a longstanding political battleground state and was a major prize won by Republican Mitt Romney in last Tuesday's mega-state GOP primaries. Obama, who carried Ohio in 2008, is expected to compete feverishly for voters there in this year's presidential election.

Britain has been a key U.S. ally on foreign policy matters, including war in Afghanistan and the bombing campaign in Libya that led to the removal of Moammar Gadhafi. The White House has said Obama and Cameron have developed a strong personal bond.

The U.S. and British leaders played pingpong at a London school last year. Obama regularly plays pickup basketball games and has talked about his NCAA tournament picks for the past three years on ESPN.

The tournament's 68-team field will be announced on Sunday. Last year, Virginia Commonwealth was one of the teams that played in an opening round game in Dayton, starting a run that led to VCU's appearance in the Final Four.

Our Homeschool Studio: Have pets? You need Clean + Green ...

We were given the opportunity to review products from Clean + Green. ?We have pets -- cats and dogs, and we prefer to use products that have no toxins. ?The big trick is that these "green" products work. ?After reading some testimonials on their website, we selected three different products. ??The first product I chose was the Carpet & Upholstery cleaner. ?There are formulas for dogs, cats and dogs & cats. ?Even though our cats are technically barn cats and should not be inside on the sofa, etc., knowing how they get carried around (brought inside "accidentally" *grin*), anything is possible. ?I wanted to be prepared, so we went the formula for dogs & cats. ?It runs $9.99 for a 14 oz. can. ?We have not had any need for it--yet. ?Even though it is fragrance-free, I sprayed some to check the scent. ?I am bothered by things with a strong smell. ?I was pleased with the light, clean scent of this cleaner--and only noticed a scent because I was "trying to". ?I also learned that this could be used for more than just dog or cat messes. ?It also would work great for other smell and stain inducing messes (think throwing up child). ?I am happy to report we were not able to test this option either.The second product we chose was the Concrete & Grout cleaner for cats. ?This comes in a 16 oz. spray can for $10.99 ?We have many concrete surfaces where the cats "work" to keep the mouse and other critter population down. ?This will work well to clean any messes and help them to know that not just anyplace can be used for a litterbox. ?This product also is fragrance-free. ?I tested this on a few spots of unknown source on the floor of the carport. ?They cleaned up well with little effort.

The last product we chose was the De-skunk Coat Cleaner. ?If you live anywhere remotely "country", and have pets, you will want to have this. ?The early spring "skunk" season is nearly upon us and I hope not to need this. ?The last time one of our dogs got too close to a skunk, they did not take a direct hit, yet were still relegated to the outdoors for many days. ?Baths did little to help, we just had to wait for the "lovely aroma" to wear away. ?I am hopeful that if one of the animals has another run-in, this product will be helpful. ?I feel confident in the safety and gentleness and hopeful at the effectiveness. ?The De-Skink Coat Cleaner comes in a 16 oz. can for $12.99.

Debt Relief | Greek Bond Swap Gains Momentum As Deadline ...

BRUSSELS (AP) ? Greece saw investors ? participation in a massive debt relief deal rise on Wednesday, bringing the country closer to avoiding a default that would plunge it into financial chaos and re-ignite the European debt crisis.

About 24 hours before the deadline for acceptances, investors owning around half of Greece?s privately-held debt had committed publicly to the bond swap, in which they will accept losses to avoid facing even bigger ones in the event of an outright default by Athens.

For the deal to work ? and for Greece to secure a related euro130 billion ($171 billion) bailout ? Greece needs 90 percent of investors to sign up. However, a voluntary participation rate of around 70 percent could be enough to force most holdouts to go along.

Greece?s financial troubles are the epicenter of Europe?s two-year crisis, so successfully lightening its debt load is crucial to the overall plan of keeping the 17-nation euro currency afloat. The euro and stock markets rose on Wednesday as confidence over the bond swap grew.

The Institute of International Finance, which has been leading the debt talks for large private creditors, said firms holding euro84 billion ($111 billion) of Greek bonds have agreed to the deal. The 32 firms include 12 that declared their participation on Monday as well as all major Greek and Cypriot banks. German reinsurer Munich Re, which holds some euro1.6 billion in Greek bonds, also said it will participate.

On top of that, some euro14 billion in bonds owned by Greek investment funds but managed by the central bank will also agree to the swap, Finance Minister Evangelos Venizelos said. Greek officials are hopeful that funds that directly manage another euro3 billion in bonds would also sign up.

After the latest announcements, officials in Athens and other European capitals sounded optimistic that they will get the necessary participation to make the deal work

?I am very, very confident,? Jean-Claude Juncker, the prime minister of Luxembourg who is also the main spokesman for the euro countries, said when asked about the debt swap.

Under the deal, private creditors will swap their Greek bonds for new ones with a face value reduced by 53.5 percent, longer repayment deadlines and lower interest rates. Overall, they will lose some 75 percent on their bondholdings.

Greece says that despite the losses the debt swap is a good deal for investors, since they would go empty-handed if the country can?t secure the bailout package from the eurozone and the International Monetary Fund that is tied to the debt relief.

Investors holding a total of euro206 billion ($271 billion) in Greek bonds have until Thursday evening to decide whether they want to participate in the bond swap. If all of them sign up, the deal would wipe euro107 billion off Greece?s euro350 billion debt pile. The Greek government will announce the result of the bond swap tender no earlier than Friday morning.

At the very least, Greece needs to reach a voluntary participation rate of 66.7 percent of investors holding euro177 billion in bonds issued under Greek law. That number would allow it to force the deal onto holdouts using new legislation it passed through Parliament last month.

For some euro28 billion in Greek bonds ? including euro10 billion from state-owned companies ? that have been issued under foreign law, forcing investors to participate is more difficult.

In most of the foreign law bonds, 75 percent of investors have to vote in favor of the deal to make it binding for all. However, in contrast to the Greek law bonds, the voting for the foreign law bond takes place separately for each individual issue. That means it is much easier for speculators to buy blocking majorities and derail the swap for certain bond issues.

Adding up the acceptances that have been announced publicly so far takes the participation rate to more than 48 percent, not counting others who may already have tendered their bonds without announcing so publicly.

In an effort to pile pressure on undecided investors, the Greek debt agency warned Tuesday that the country just does not have the money to repay holdouts in full. That means that if they do not accept the bond swap, they may face a full default, and therefore much steeper losses, on their bonds.

Venizelos on Wednesday also sharply criticized five Greek social-security funds that decided not to participate in the debt relief.

He said the five funds control only about euro3 billion worth of Greek debt but accused them of ?undermining? the national effort to secure the deal, without which Greece will lose its international cash lifeline and likely be forced out of the eurozone.

?What kind of message are we Greeks sending?? he told private Real FM Radio. ?Is our message that we prefer the country to go bankrupt and the social security funds? bonds to be totally wiped out? If (the bond swap) does not succeed, what will these bonds be worth? They will be worth a big zero. Because the country will have been wiped out.?

Although Greece needs the bond swap to stay afloat, the debt relief deal and the bailout will not spell the end of Greece?s ? or Europe?s ? troubles. Analysts are divided over whether the country will be able to avoid default and stay in the euro in the longer term.

Greece has been living off a first euro110 billion batch of international rescue loans since May 2010 and has to implement stringent austerity measures in return. The country is in its fifth year of deep recession and unemployment has reached at a record high of 21 percent.

Even if the new rescue deal works out as planned, it would still leave Athens with a debt level of 120 percent of economic output by the end of the decade. To sustain that load, Greece will have to get its battered economy back into shape quickly and opposition to the reforms the EU says are required for that remains high.
